StageKey Service Agreement
Meet & Greet Management Services
1. Parties
Service Provider: StageKey, a service of Raba LLC, State of Wyoming, United States ("StageKey").
Client: The individual completing this onboarding form, on behalf of the artist or band indicated ("Client").
This Agreement is entered into as of the date of the Client's digital acceptance through the StageKey onboarding platform.
2. Scope of Services
StageKey agrees to provide the following services for the Client's Meet & Greet program:
- Setup and management of Meet & Greet ticket sales via Stripe payment processing
- Automated QR code generation and delivery to purchasers via email
- Branded confirmation email sent to each purchaser upon completed payment
- Access to the StageKey Door system for on-site QR code scanning and entry management
- Real-time sales dashboard accessible by the Client
- Settlement and disbursement of collected funds per the terms of this Agreement
3. Service Fee & Reserve
Service & Processing Fee: €8.00 per ticket sold, deducted prior to disbursement. This fee covers all payment processing costs, automated email delivery, QR code generation, door management system access, and platform operational costs. No additional fees apply.
Reserve Fund: 5% of gross collected per show will be held for 30 days following the final show of the tour and released to the Client thereafter. This reserve covers potential payment reversals or chargebacks.
Capacity: The maximum number of passes per show is set during onboarding. The Client may request an increase by emailing hello@stagekey.io. StageKey reserves the right to approve or deny capacity changes at its discretion.
4. Settlement & Disbursement
- Disbursements will be made every Wednesday for all ticket sales completed in the preceding week.
- Each disbursement equals gross collected minus the €8.00 service fee per ticket, minus any Stripe payment reversals or chargebacks incurred during the period.
- The Reserve Fund (5% of gross per show) will be withheld from each disbursement and released no later than 30 days after the final show of the tour.
- StageKey will provide a written settlement statement with each disbursement.
StageKey is not responsible for delays caused by incorrect or incomplete banking information provided by the Client.
5. Cancellation & Refunds
- If a show is cancelled by the artist or venue, StageKey will issue full refunds to all purchasers for that show. The Service Fee for cancelled shows will not be charged.
- If a show is cancelled after disbursement has already been made to the Client, the Client is responsible for returning the corresponding funds to StageKey to cover refunds.
- No refunds will be issued for purchaser no-shows or failure to present the QR code at the event.
- StageKey reserves the right to terminate this Agreement with 7 days written notice if the Client fails to comply with any material term herein.
6. Data & Intellectual Property
- All purchaser data collected through the StageKey platform is owned by StageKey and processed in accordance with applicable data protection laws.
- StageKey may use aggregated, anonymized data for internal analytics and platform improvement.
- The StageKey platform, including its technology, design, and processes, is the exclusive intellectual property of StageKey / Raba LLC.
7. Limitation of Liability
StageKey's total liability under this Agreement shall not exceed the total Service Fees collected for the tour. StageKey is not liable for any indirect, incidental, or consequential damages, including lost revenue due to show cancellation, venue restrictions, or force majeure events.
8. Governing Law
This Agreement shall be governed by the laws of the State of Wyoming, United States. Any dispute shall be resolved through binding arbitration in Wyoming.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations. Amendments require written agreement from both parties.
